Careers
Constantly evolving regulation, the impact of new technologies and continuing globalisation present complex challenges for the banking and finance sector.
As one of the leading practice groups for banking and finance in Switzerland, we advise clients on all legal and regulatory matters in both domestic and international contexts.
With long-standing experience, specialist knowledge and constant contact with the competent supervisory authorities, our experienced team can help you navigate all your legal issues with an efficient, solution-oriented approach.
We attach great importance to anticipating your specific needs and offering innovative solutions. We constantly monitor the market for the latest developments, ready to advise you when we see changes to regulatory frameworks or technological advances that may have future legal implications for your operation.
Our clients include Swiss and foreign banks (commercial, investment and classic private banks), insurance companies, securities dealers, investment funds, private and institutional investors as well as asset managers.
We have extensive knowledge of and experience in the processing and documenting of complex domestic and international financing transactions. This includes, in particular, structured secured finance transactions, acquisition, growth, lease and restructuring financing and derivatives pursuant to all common Swiss and international standards. Thanks to our proven industry know-how, we are in a unique position to develop pragmatic and innovative solutions tailored to your needs, including the input of our tax team on the relevant tax considerations.
Our advisory activities cover all regulatory aspects in both domestic and cross-border contexts. We advise many clients that are subject to supervision. Our team can assist you in the optimal set-up of new structures and distribution within Switzerland, including the question of whether a license or registration is required. We represent our clients before the Swiss Financial Market Supervisory Authority FINMA and the courts. One of our key areas of experience is in preparing clients for the challenges of new regulation and supporting them in the implementation process.
We can structure and document financial instruments for you, provide advice and represent you in initial public offerings (IPOs), as well as raising all forms of equity, debt and hybrid capital. Several of our partners are recognised by the SIX Swiss Exchange as issuer representatives. We advise shareholders and listed companies on questions of disclosure and ad hoc publicity in public takeovers and on questions of insider law.
We can advise you on the setting up and operation of collective investment schemes, developing structured products from a legal perspective and assist you in the public and private placement of financial instruments of all kinds. Given our experience with complex financial instruments and our industry know-how, we are the ideal point of contact for the development of pragmatic and innovative solutions.
We can advise you on the development, implementation and application of technical innovations in the financial market field, be it initial coin offerings (ICOs), crowdfunding, mobile payment solutions or robo-advisors (often working with our specialist ICT team). In addition, we actively support efforts by lawmakers and industry groups to improve the regulatory conditions for Fintech in Switzerland.
Our team advises insurance companies on all legal and regulatory matters, in particular on questions of supervision (including duties of conduct and care). We also provide support in the application process for the necessary licenses and representation before the Swiss Financial Market Supervisory Authority FINMA.
“Our focus is on practical solutions. From legal challenges around initial coin offerings to established financial services, our goal is to always provide pragmatic advice that will make a positive difference.”
