  • Business Tax Reform II:  overview and applied examples

    Dr Hugo Wyssen from the Tax Administration Authorities in Canton Zug, and Stefan Widmer and Reto Arnold, respectively partner and tax expert at Vischer, will be giving a Business Talk on October 2 at 5 pm on the new statutory provisions of the Business Tax Reform II.  Using applied examples, they will examine the issues arising from these latest developments, and will discuss how to plan for them effectively.

    Partners from the VISCHER Real Estate Department are giving a client BusinessTalk on legal issues arising from real estate investments.

    The talk in Basel, on Wednesday 27th August will feature Dr Andreas C. Albrecht, Thomas Ziegler, and Jacqueline Burckhardt Bertossa, who will speak respectively on "Legal questions when planning and implementing major real estate projects - an interpretive outline", "Tax issues arising during the development and marketing of business properties and land reserves" and "The sale of one-floor units before the completion of the building".

    The talk in Zurich, on Thursday 28th August will feature Dr Andreas C. Albrecht, Thomas Ziegler, and Felix Meier-Dieterle who will speak respectively on "Legal questions when planning and implementing major real estate projects - an interpretive outline", "Tax issues arising during the development and marketing of business properties and land reserves" and "Special problems involving contracts for works" in construction projects.     

 

 

  • Employee Stock Options in Practice: Taxes – Law - Finances

    On Tuesday, April 17th, 2008, in our offices in Basel, we are giving a client BusinessTalk on implications of employee stock option schemes. Dr. iur. Matthias Staehelin and lic. iur. Daniel Diller, attorneys from the VISCHER offices, together with Harry Welten, the CFO of Arpida, will discuss, inter alia, the effects of employee stock options on the profit and loss statement of a company, in accordance with the IFRS.    

 

 

  • License agreements and antitrust law

    Private cometition restrictions are being increasingly emphasized as a substitute for state trade barriers. The license agreement is proving to be a flexible instrument for controlling and restricting cross-border trade in goods protected under intangible property law beyond the possibilities deriving from industrial property rights. Antitrust law governing licensing is playing an important role in identifying and opposing restrictions. The objective of the Business Talk is to discuss problems at the interface between intangible property law and antitrust law and to set out options for avoiding breaches of antitrust law.

Stronger regulation as a consequence of the first revision of the occupational pension scheme act and the raising of old age and survivors insurance contributions on non-regulated occupational pension scheme benefits threaten to stifle discretionary benefits. Participants representing the authorities, from the economic and political sectors, will discuss whether this is right or not.

    Sooner or later, Mergers & Acquisitions become an important topic for all enterprises, as well as for their owners and management. At any time, a company may become a target for a takeover or a company may want to purchase a new business or to spin off a business unit. In each case, such transactions demand the full attention and management capacities of all persons involved, as well as good negotiation skills and knowledge of the legal framework. Our Business Talk shall demonstrate the various possibilities and "do's and don'ts" in structuring a M&A transaction. Special attention shall be given to the actual transaction management, the vendor due diligence and due diligence, as well as the balancing of the conflicting interests of seller and purchaser in drafting a purchase agreement.
