CTS EVENTIM group purchases Ticketcorner group

On 5 March 2010, EVENTIM CH AG, a subsidiary of the German CTS EVENTIM AG has purchased Ticketcorner Holding AG from Capvis General Partners II Ltd. and other sellers (including a subsidiary of the Kudelski group).

CTS EVENTIM AG was advised by VISCHER AG. The team of VISCHER AG was led by Klaus Neff and included associates Andreas Textor, Matthias Glatthaar, Ursina Brack, Fabian Martens, Ariane Ritschard and Miklòs Komàromy.

The partners of VISCHER Ltd. are pleased to announce the appointment of five new partners:

Dr. Benedict F. Christ, LL.M. joined VISCHER in 2002 and specializes in mergers & acquisitions, banking, finance, contracts and corporate law. Benedict has a wealth of transactional experience, and advises regularly on real estate, private equity, structured finance and capital increase matters.

lic. iur. Daniele Favalli, LL.M. joined VISCHER at the end of 2006 and regularly represents parties in litigation and arbitration. In addition, he has extensive experience in international commercial law.

Dr. iur. et dipl. sc. nat. ETH Stefan Kohler has been practicing with VISCHER since 2005, and specializes in commercial, technology and innovation law. Stefan regularly advises domestic and foreign companies in the life sciences sector.

Stéphane Konkoly, LL.M. joined VISCHER (formerly Gloor & Christ) in 1999 and specializes in mergers & acquisitions, finance, and corporate law. Furthermore, Stéphane heads VISCHER’s French Desk.

Dr. Christian Oetiker, LL.M. joined VISCHER (formerly Gloor & Christ) in 1999 and is a litigation specialist. He represents domestic and foreign clients before state courts and arbitral tribunals. Christian also acts as an arbitrator.

Pharmaceutical Law

Peter Hettich and Stefan Kohler lead conference

A total of 75 guests, mainly from the pharmaceutical industry, but also from public authorities including Swissmedic and the Federal Adminstrative Court, attended the pharmaceutical law conference on November 13, 2009 in the Swissôtel in Zurich. The conference was organized by the Institute for Legal Practice of St. Gallen.

The seminar papers of Prof. Dr. Peter Hettich "Pharmaceutical Law as a risk law" and Dr. Stefan Kohler "Trends in pharmaceutical law" will be published in the next few months.

International Offerings of Equity Securities in Switzerland by Non-Swiss Issuers

Leading Swiss banks and Swiss law firms agree on a joint position in respect of the applicability of Swiss prospectus requirements for cross-border equity securities offerings by non-Swiss issuers into Switzerland. VISCHER endorsed this position paper which provides foreign issuers of shares and their banks with a harmonized view on certain disputed and debated issues.

Gene technology in Switzerland

VISCHER involved in national research project

The research project of the Swiss National Science Foundation "NRP 59 – Benefits and Risks of the Deliberate Release of Genetically Modified Plants" (www.snf.ch) is examining, inter alia, how the coexistence of plant production with and without genetic engineering in Switzerland may be ensured long-term.

The interdisciplinary project is being led by Prof. Rainer Schweizer (University of St. Gallen), PD Dr. Christoph Errass (Federal Tribunal) and Dr. Stefan Kohler (VISCHER AG).

The main results of the research project will be presented and discussed publicly on September 4, 2009 at a symposium of the Zurich-Basel Plant Science Center (www.plantscience.ethz.ch) and the Collegium Helveticum (www.collegium.ethz.ch) at the ETH Zurich.

Event Preview

Pharmaceutical Law - St. Gallen Conference in November 2009

Dr. iur. Stefan Kohler, VISCHER Ltd, and Prof. Dr. Peter Hettich, University of St. Gallen will lead the St. Gallen Conference on Pharmaceutical Law on 13 November 2009 in the Swissôtel in Zurich. The event will provide general insight into the current legal practice of the drug authorities and will feature an in-depth discussion on the regulatory limitations of drug promotion.

Pharmaceutical law and public economics law

Pharmaceutical law: In this joint work, Prof. Dr. Peter Hettich and Dr. Stefan Kohler summarize the current legislation, case-law and literature concerning aspects of Swiss drug legislation related to human pharmaceuticals, from mid-2007 to end-2008.

Public economics law: Prof. Dr. Peter Hettich, Dr. Stefan Rechsteiner and Claudia Keller present current developments in the telecommunication sector and in legislation on audiovisual media and the supply of electrical power. Junior lawyers from VISCHER contributed to both works.

The publications are designed to be practical handbooks and are available as volumes in the "njus.ch" series, edited by Prof. Dr. Hans-Ueli Vogt, University of Zurich.

Change of legal form

VISCHER has become a Joint Stock Corporation

The VISCHER lawyer's and notary's office has changed its legal form and has been operating since June 4th, 2009 as a joint stock corporation. Zurich is the registered domicile of the company pursuant to the articles of incorporation. The corporation is now, as before, equally active in the offices in Zurich and Basel. The shareholders in VISCHER Ltd are the partners of the previous lawyer's and notary's office.

By means of this change in legal form, VISCHER has organizationally completed the change mandated by the economic development of the last few years. In 2000, when VISCHER was founded from the amalgamation of the Basel lawyer's and notary's office "Gloor & Christ" and the Zurich lawyer's office "Pestalozzi Haegi & Partner", the company had a staff of 95. After strong growth at both the Basel and Zurich offices, VISCHER is presently a company with 245 employees. Momentarily, VISCHER is the largest lawyer's office in Basel and counts among the five largest law firms nationwide.

The legal form as a joint stock corporation is custom-made for a company of this size. The designation of law firms as joint stock corporations has been permissible since two years. In keeping with all the other larger law firms, VISCHER has taken advantage hereof. The actual activities of the lawyers, notaries and tax experts in VISCHER’s offices will not be influenced by this development. Both locations will remain as is. Zurich will continue to attend to the clients previously served by them and the Basel clients will be served by Basel. VISCHER will continue to pursue the current growth strategy at both locations.

At its recent conference meeting, Urs Haegi, VISCHER's Managing Partner, was elected president of the Zurich Lawyers' Association for 2009 and 2010 (http://www.zav.ch/home/).  At the same meeting, Dr. Robert Bernet and Dr Christa Pfister were elected to the fee commission and as delegate for the Swiss Lawyers Association respectively. About one third of all Swiss Lawyers are members of the Zurich Lawyers' Association.

Overview and applied examples
